For the purposes of this Agreement, Confidential Information includes technical, commercial, design, financial and manufacturing information disclosed by either party in connection with the project described above.

Each party agrees:

• to keep such information confidential;
• to use it only for evaluating or progressing the above project;
• not to disclose it to third parties except to employees or advisers who need to know it for that purpose.

These obligations do not apply to information which:

• was already known before disclosure;
• becomes public without breach of this Agreement;
• is received lawfully from a third party without restriction;
• is independently developed without reference to the confidential information.

This Agreement applies only to the project described above and remains valid for five (5) years from the date of this Agreement.

This Agreement shall be governed by the laws of Hong Kong.
